1. Acceptance of Terms

By accessing or using the PowerFunnels website (powerfunnels.com) or engaging our services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our website or services.

2. Description of Services

PowerFunnels provides Google Ads campaign management, optimization, and consulting services for local service businesses. Our services include but are not limited to: campaign strategy and build-out, ongoing campaign management, landing page optimization consulting, performance reporting and analytics, competitor analysis, and campaign audits. We use proprietary AI tools and the Google Ads API to deliver these services.

3. Google Ads API Usage

Our services utilize the Google Ads API to access, analyze, and manage advertising campaigns on behalf of our clients. By engaging our services, you authorize PowerFunnels to access your Google Ads account data through the Google Ads API for the purpose of providing campaign management and reporting services. Use of our services is subject to Google's Terms of Service and the Google Ads API Terms and Conditions. We act as an authorized agent managing campaigns at the direction of our clients. PowerFunnels does not guarantee specific advertising results, as campaign performance depends on numerous factors including market conditions, competition, budget, and landing page quality.

4. Client Responsibilities

Clients agree to:

  • Provide timely access to Google Ads accounts
  • Approve advertising budgets before campaigns are launched
  • Communicate business changes that may affect campaigns
  • Provide accurate business information
  • Respond to requests for information within a reasonable timeframe
  • Comply with Google Ads policies

5. Payment Terms

Our fees are based on the scope of services and monthly ad spend under management. Payment terms are outlined in individual service agreements. Invoices are due upon receipt unless otherwise specified. Late payments may result in service suspension. Clients are responsible for their own Google Ads spend, which is billed directly by Google.

6. Intellectual Property

PowerFunnels retains ownership of all proprietary tools, methodologies, processes, and AI models used in delivering services. Campaign strategies, ad copy, and other deliverables created specifically for a client become the client's property upon full payment. The PowerFunnels name, logo, and brand are our exclusive property.

7. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the engagement. This includes campaign data, business strategies, pricing, and technical information. Confidentiality obligations survive termination of services for a period of two years.

8. Limitation of Liability

PowerFunnels provides Google Ads management services on a best-efforts basis. We do not guarantee specific results including but not limited to click-through rates, conversion rates, return on ad spend, or lead volume. In no event shall PowerFunnels be liable for indirect, incidental, special, consequential, or punitive damages. Our total liability shall not exceed the fees paid by the client in the three months preceding the claim.

9. Indemnification

Client agrees to indemnify and hold PowerFunnels harmless from any claims arising from:

  • Client's products or services
  • Client's violation of laws or regulations
  • Content or information provided by the client
  • Client's Google Ads account history
  • Any breach of these Terms of Service

10. Termination

Either party may terminate services with 30 days written notice. Upon termination, client retains access to their Google Ads account and all campaign assets. PowerFunnels will provide a final performance report and transition documentation. Outstanding fees remain due upon termination.

11. Dispute Resolution

Any disputes arising from these Terms of Service will first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes will be submitted to binding arbitration in accordance with the rules of the American Arbitration Association.

12. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict of law principles. Any legal action arising from these terms must be brought in the courts of Cobb County, Georgia.

13. Modifications

PowerFunnels reserves the right to modify these terms at any time. Material changes will be communicated to active clients via email at least 15 days before taking effect. Continued use of our services after modifications constitutes acceptance of the revised terms.

14. Severability

If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

15. Entire Agreement

These Terms of Service, together with any individual service agreement and our Privacy Policy, constitute the entire agreement between the parties.
